Terms of service

Last updated 4 November 2026. These terms summarise how Nightshift Technologies (Pty) Ltd, registration 2026/678201/07, works. Every build is governed by the written agreement both parties sign, with the one-page outline attached. If anything on this page differs from a signed agreement, the agreement applies.

The free call

The 15-minute discovery call and the one-page outline that follows are free. You decide whether to go ahead.

Price

Each job has one fixed price, set after the call and stated in writing in the outline. Prices are in rand. The price does not change if the work takes us longer than planned. Work larger than the top price step is staged, one price per stage.

Anything outside the outline is a change request, with its own fixed price, and is made only when you approve it in writing. Third-party subscriptions and usage fees are not part of the price: you pay them directly, on your own accounts, and we do not buy anything on your behalf.

Payment

Payment is upfront: 40 to 50 percent on signature, and the balance on delivery. Builds over R60,000 are paid in milestones. Paying upfront is the fixed price, not a discount. Work starts once the deposit has cleared.

We never change our bank details by email alone. If an email says our bank details have changed, call 078 143 9199 before you pay.

A person signs off

Nothing the system produces reaches your customers until your named sign-off person has approved it. You are responsible for the content your sign-off person approves.

Delivery and support

The build is delivered when the acceptance test in the outline passes. Thirty days of support are included on every build: for 30 days from delivery we fix anything that does not work as the outline and its acceptance test describe. New features or new jobs are change requests.

Ownership and your data

The accounts the system runs on are set up in your business's name and are yours from the start. On full payment, you own all code, agents, workflows and accounts we build for you. Your data stays in your accounts and is never used to train any model. For personal information the system handles, we act as your operator under POPIA.

No promise of results

We build and test the system against the outline and its acceptance test. We do not promise any business result: no promise of revenue, sales, replies, time saved or any other outcome.

Law

These terms, and every agreement we sign, are governed by the laws of the Republic of South Africa.
